These Terms of Service (“Terms”) govern access to and use of the internal social media management tool operated by Tivich, LLC (“we,” “us,” or “our”). By accessing or using this Tool, you agree to be bound by these Terms.

1. Nature of the Tool

This Tool is a private, internal application developed and operated exclusively by Tivich, LLC. It is designed to aggregate, display, and facilitate responses to comments across Tivich, LLC–owned social media accounts on platforms including TikTok, YouTube, and Instagram. This Tool is not offered to the public and is not a commercial software product.

2. Authorized Use

Access to this Tool is restricted to authorized personnel of Tivich, LLC. Unauthorized access, distribution, or use of this Tool is strictly prohibited. Users of this Tool agree to:

Use the Tool only for managing Tivich, LLC–owned social media accounts
Comply with the terms of service of all connected third-party platforms (TikTok, YouTube, Instagram)
Not attempt to reverse engineer, copy, or redistribute any part of the Tool
Not use the Tool to collect, store, or misuse data belonging to third-party users

3. Third-Party Platform Compliance

This Tool connects to social media platforms via their official APIs. Use of this Tool is subject to and must comply with the terms of service and developer policies of each connected platform:

In the event of any conflict between these Terms and the terms of a connected platform, the platform’s terms take precedence with respect to use of that platform’s data.

4. Intellectual Property

All software, code, designs, and content comprising this Tool are the property of Tivich, LLC. Nothing in these Terms grants any license to copy, modify, or distribute any part of the Tool. Content displayed within the Tool (such as user comments on social media) remains the property of its respective authors and platforms.

5. Data Handling

Data accessed through this Tool is handled in accordance with our Privacy Policy. We are committed to using third-party platform data only for its intended purpose and in compliance with applicable API terms.

6. Disclaimer of Warranties

This Tool is provided “as is” for internal operational use. Tivich, LLC makes no warranties, express or implied, regarding the Tool’s uninterrupted availability, accuracy of data retrieved from third-party APIs, or fitness for any particular purpose. Third-party API availability is outside our control.

7. Limitation of Liability

To the fullest extent permitted by law, Tivich, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of this Tool, including but not limited to data loss or service interruptions caused by third-party platform API changes.

8. Modifications

We reserve the right to update these Terms at any time. The most current version will be posted at this URL. Continued use of the Tool after any changes constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of the United States and the state in which Tivich, LLC is registered, without regard to conflict of law principles.
